By accessing the digital data room of Moser Anlageimmobilien AG, the accessing individual or entity (hereinafter the “Recipient”) agrees to the following terms and conditions.

1. Confidential Information

All information and materials made available in the data room – regardless of their form (including, but not limited to, documents, plans, photographs, floor plans, contracts, property accounts, studies, analyses, as well as oral or electronic information) – shall be deemed confidential unless such information is demonstrably in the public domain or becomes public without breach of this Agreement.

2. Purpose Limitation

The confidential information may be used exclusively for the purpose of evaluating a potential investment or transaction in connection with the respective project. Any other use is strictly prohibited.

3. Confidentiality Obligation

The “Recipient” undertakes to treat all confidential information as strictly confidential and not to disclose such information, in whole or in part, to any third party.
Disclosure to employees, advisors or representatives is permitted only on a strict need-to-know basis and provided that such persons are bound by confidentiality obligations.

4. Duty of Care and Protection

The “Recipient” shall take all reasonable organizational and technical measures to protect the confidential information against unauthorized access, disclosure or misuse.

5. Return and Deletion

Upon request by Moser Anlageimmobilien AG, all confidential information – including copies, extracts or stored data – shall be returned without delay or permanently deleted, with confirmation upon request.

6. Liability

The “Recipient” shall be liable for any damages, costs or losses incurred by Moser Anlageimmobilien AG as a result of a breach of this Agreement.

7. Term

The obligations under this Agreement shall commence upon first access to the data room and shall continue to apply even after termination of access.

8. Governing Law and Jurisdiction

This Agreement shall be governed by Swiss law. The exclusive place of jurisdiction shall be the registered office of Moser Anlageimmobilien AG, unless mandatory statutory provisions provide otherwise.

9. Binding Effect

By checking the box and proceeding to access the data room, the “Recipient” confirms that this Non-Disclosure Agreement has been read, understood and is accepted as legally binding.
